BOARD OF DIRECTORS
The Company has an active Board of Directors, comprised of eleven leading individuals from industry and finance. The Board plays a key role in managing and monitoring ICL in a responsible and value-driven manner. Approximately half of the Board members are independent with two formally designated as outside members as required by the Israeli Companies Law. The Board includes a former chairman of the Tel Aviv Stock Exchange, former Minister of Finance of the State of Israel, several former senior management members of major Israeli banks and a former Chairman of ICL. ICL also believes in transparent corporate governance to foster the confidence of our shareholders, financial markets, business partners and employees in the Board’s management and supervision of the Company. | Mr. Nir Gilad was elected Chairman in January 2008 and has been a director since May 2006. He is also a Director of several of ICL's subsidiaries, and Chairman and Director of several subsidiaries of Israel Corporation. Mr. Gilad has served as the President and CEO of the Israel Corporation, ICL's principal shareholder, since 2007. Previously, Mr. Gilad served as the Deputy CEO, Strategy & Business Development of Israel Corporation, as Accountant-General of Israel’s Ministry of Finance, as the Deputy CEO of Migdal Insurance and Financial Holdings Ltd., as the CEO of Migdal Investments Management 2001 Ltd. and as the Chairman of Migdal Capital Markets Ltd. Mr. Gilad also held senior positions in the Ministry of Finance, including Deputy to the Budget Supervisor and Assistant to the Budget Supervisor in charge of the security, civil administration and administration Budgets. Mr. Gilad received a B.A. from the Hebrew University of Jerusalem and an M.B.A. from Bar-Ilan University.

Mr. Yossi Rosen has been a member of the Board of Directors since 1998 and served as Chairman ICL’s Board from September 1998 to December 2007. Mr. Rosen is a director of several of ICL's subsidiaries. Mr. Rosen serves as a Chairman of the Board of Directors of Oil Refineries Ltd, a subsidiary of Israel Corporation and of Resget-Noga Ltd, as CEO of Ofer Holdings Ltd., and as a director of Mizrahi Tefahot Bank Ltd, Zim integrated Shipping Services, Carmel Olefins Ltd, Gadiv Petrichemical Industries Ltd, Habas HZ Investments (1960) Ltd. and of several subsidiaries of Israel Corporation. Previously, Mr. Rosen was President and CEO of Israel Corporation, ICL's principal shareholder, President of Mashav Initiating & Development Ltd. and served as Chairman of various industrial companies, including Nesher Cement Ltd. Mr. Rosen received a B.A. in Economics and Political Science and an M.B.A. in Business Administration from the Hebrew University of Jerusalem.

Dr. Miriam Haran External Director and Member of the Board since 2009

Dr. Miriam (Miki) Haran has been serving as an External Director since July 2009. Dr. Haran was previously Director General of Israel’s Ministry of the Environment and is a world expert in the field of environmental protection. She currently serves as head of Ono Academic College’s MBA/ Environmental Management Program and is Chief Scientist of Tamarix Ventures, a venture capital fund focused on Israel-related cleantech companies. Dr. Haran received a Ph.D. in Organic Chemistry from Brandeis University, and a B.Sc. in Chemistry from Hebrew University of Jerusalem.

Mr. Chaim Erez has been serving as a director since February 1996 and is a director of several of ICL's subsidiaries. Mr. Erez also serves as a director of Africa-Israel Investments Ltd., an infrastructure investment company, Israel Salt Industries Ltd, a salt and real estate company, Anglo Israel Control systems, a metal parts manufacture company, and as consultant of Kroosh Technologies Ltd. From1988 to 1995, Mr. Erez served as the President and CEO of ICL Group, as Chairman of Fertilizers and Chemicals, and as a director of a number of companies, including Vulcan, a car battery company. Mr. Erez received a B.A. in General History from Tel-Aviv University and an M.B.A. in Political Science from Haifa University. Mr. Erez is a research fellow at The London School of Economics and Political Science (LSE) in Company Privatization and Local Government.

Mr. Avraham (Baiga) Shochat has been serving as a director since January 2006 and is director of several of ICL's subsidiaries. Mr. Shochat serves as a Director of Alon U.S.A Energy Inc., Direct Insurance - Financial Investments Ltd., Kali Capital Markets Insurance Agency (2006) Ltd, and Mizrahi-Tefahot Bank Ltd. Mr. Shochat is a former Minister of Finance (1992-1996 and 1999-2001) and Minister of Infrastructure within the Israeli Government. He was a member of the Israeli Knesset between 1988 to 2006 where he served as Chairman of the Finance Committee, the Economics Committee and the Joint Committee for the Defense Budget. Mr. Shochat also served as the Head of Arad Municipality (1967 to 1989). Mr. Shochat received a B.Sc. in Civil Engineering from the Institute of Technology in Haifa.

Mr. Paz serves as the Chief Financial Officer of Israel Corporation. Previously, Mr. Paz served as a Chief Financial Officer of Clal Industries and Investments, a holding company. Mr. Paz received a B.A. in Economics and Accounting from Tel-Aviv University and is a certified public accountant in Israel (CPA).

Mr. Amnon Sadeh has been serving as a director since April 1999 and is director of several of ICL's subsidiaries. Mr. Sadeh also serves as a Director of Paz Oil Company Ltd., Golf & Co. Group Ltd., a textile and house wares company, Clal Insurance Enterprises Holdings Ltd., Gadot Chemical Tankers and Terminals Ltd. and as CEO of A. Sadeh Investments (1999) Ltd., a private holding company. Mr. Sadeh has been Executive VP of Bank Hapoalim and CEO of Delek Group, as well as at several of its investment companies. Mr. Sadeh received a B.A. in Economics and Political Science from the Hebrew University of Jerusalem.

Prof. Yair Orgler has been serving as an outside director since September 2006 and is a director of several of ICL's subsidiaries. Prof. Yair Orgler serves as an outside director of Bank Hapoalim, of Itamar Medical Ltd, Gazit-Globe Ltd. and of Ceragon Networks, and - as a director of Atidim. Prof. Orgler is a professor emeritus at Tel-Aviv University and a managment commitee member of Tel-Aviv academic college. Prof. Orgler was Chairman of the Tel Aviv Stock Exchange (TASE) from 1996 to 2006, and a member of Bank of Israel's Audit Committee. He has taught at the Kellogg School of Management at Northwestern University and served as Visiting Financial Economist for the Board of Governors of the US Federal Reserve System and the US Federal Deposit Insurance Corporation (FDIC). Prof. Orgler was Vice Rector of Tel Aviv University from 1985 to 1990 and Dean of the University’s Graduate School of Business Administration from 1981 to 1985. He founded and served as the first Chairman of Ma’alot, the Israel Securities Rating Company. He is the author of several books and over 40 academic and professional articles. Prof. Orgler received a B.Sc. in industrial engineering and management from the Technion, Israel’s Institute of Technology in Haifa, an M.Sc. in industrial engineering from the University of Southern California (USC) and a Ph.D. from Carnegie Mellon University.

Mr. Moshe Vidman has been serving as a director since September 1996 and is a director of several of ICL's subsidiaries. Mr. Vidman also serves as a director of Israel Corporation, Leumi Ltd., Partner Communications Company Ltd., Jafora-Tabori Ltd., Rosebud Medical Ltd., Melisron Ltd. Ofer Brothers properties (1957) Ltd. and Alrov Properties & lodgings Ltd. Mr. Vidman is a member of the Board of Governors of the Hebrew University in Jerusalem as well as the management committee of the University, Chairman of the Endowment Fund and of the board of the University asset company. Mr. Vidman is also the representative of Revlon Ltd in Israel. Mr. Vidman received a B.A. in Economics and Political Science from the Hebrew University of Jerusalem and an M.B.A. with a concentration in finance from the Hebrew University of Jerusalem.

Noga Yatziv, Adv. has served as a director since December 1998. Ms.Yatziv serves as Company Secretary, Manager of Human Resources and Assistant to the President and CEO of the Israel Corporation. Ms.Yatziv is a director of Tel Aviv Economical Authority, a municipal corporation, Sarel Medicine Services and Supply, a non-profit medical supply union and Israel and Development Insurance Company Ltd. Previously, Ms.Yatziv served as the Company Secretary of an ICL subsidiary, Dead Sea Magnesium, and as a director of Israel Discount Bank, Analyst Stock Exchange Services, an Israeli brokerage and fund managment company, and the Tel-Aviv Development Fund, a municipal corporation. Ms.Yatziv received an LL.B degree from Tel-Aviv University and is admitted to the Israel Bar.

Mr. Akiva Mozes has been serving as President and Chief Executive Officer since April 1999. Mr. Mozes serves as Chairman of a number of ICL subsidiaries, including Dead Sea Works Ltd., Dead Sea Bromine Ltd., Bromine Compounds Ltd. and Rotem Amfert Negev Ltd. Mr. Mozes is the Chairman of the public Companies Association and member of the Board of Directors of Strauss Group Ltd. In addition Mr. Mozes is a Representative of the Public at the National Labor Tribunal, a Member of the Board of Governors Ben-Gurion University of the Negev, Chairman of the Friends of the Soroka Negev Medical Center, a Member of the International Board of Governors of Shenkar College of Engineering and Design, and a Member of the Academic Industrial Advisory Board of The Kinneret College in the Jordan valley. Mr. Mozes received a B.A. in Economics and Political Science and an M.B.A. from the Hebrew University of Jerusalem.

Previously Mr. Grinbaum served as a President and Chief Executive Officer of the ICL Industrial Products segment. Mr. Grinbaum received a B.A. in Mechanical Engineering and an M.B.A. from Ben Gurion University.

Mr. Yossi Shahar has been serving as the Executive Vice President, Corporate Development since 2008 following his position as President and Chief Executive Officer of the ICL Industrial Products segment from 2004 to 2007. Mr. Shahar served from 1999 to 2004 as the President and Chief Executive Officer of the ICL Performance Products segment. Mr. Shahar also served as Corporate Vice President of ICL's subsidiary, Rotem Amfert Negev Ltd., and as Vice President – Marketing of Rotem Amfert Negev Ltd. and Negev Phosphates Ltd. Mr. Shahar received a B.A. in Statistics and Economics from the Hebrew University of Jerusalem.

Mr. Eli Amit has been serving as ICL's Vice President of Economics since January 2002 and prior to this as the manager of the economics department of ICL (as of 1999). Mr. Amit serves as Chairman of Dead Sea Magnesium Ltd., and as a director of ICL's subsidiaries, Dead Sea works Ltd., Rotem Amfert Negev Ltd., Dead Sea Bromine Ltd and Bromine Compounds Ltd. Previously, Mr. Amit served as a Chief Economist of Clal Industries and Investments Ltd., and served as a director of several of its subsidiaries. Mr. Amit received a B.A. in Economics and Philosophy and an MBA from Tel-Aviv University and an M.A. in Economics from Northwestern University, USA.

Ms. Lisa Haimovitz, Adv., was appointed General Counsel and Company Secretary in May 2009. Previously, Ms. Haimovitz served as Vice President - Strategy for the Delek Group, and held a number of positions at Israel’s Securities Authority, culminating in her role as Senior Advisor to the Authority’s Chairman and head of its Department of International Affairs. Ms. Haimovitz received an M.B.A. in Finance and Accounting and a L.L.B. degree from the Tel-Aviv University. She is admitted to the Israel Bar.

Mr. Asher Rapaport has been serving as Vice President Human Resources since November 2006. Previously he served in ICL management since 1996. Mr. Rapaport serves as a Director of two of ICL's subsidiaries. Previously, Mr. Rapaport served as Vice President and Assistant to the President, Chief Financial Officer, Human Resources Manager and Secretary and Quality Assurance Manager of ICL's subsidiary, Dead Sea Periclase Ltd. Mr. Rapaport received a B.A. in Economics and Business Management and an M.Sc. in Industrial and Management Engineering from Ben Gurion University.

Ms. Osi Sessler has been serving as Vice President of Investor Relations and Communications since 2008 after having been Investor and Public Relations Manager from 2003 through 2007. Previously, Ms. Sessler was an investment banker at CS First Boston and JP Morgan Chase in New York, England and Israel. Ms. Sessler holds degrees in Economics from UCLA and a Masters in Business Administration from Yale University.

Mr. Shlomo Ben Shimol has been serving as the Principal Internal Auditor of the Group since May 2005. Mr. Ben Shimol is a partner in Deloitte - Brightman Almagor & Co. Mr. Ben Shimol received a B.A. in Economics and Accounting from Tel-Aviv University and is a Certified Public Accountant (Isr.) and a Certified Internal Auditor (CIA).

Mr. Amir Benita Controller since 2007

Amir Benita has been serving as Controller since December 2007. Previously, Mr. Benita, a CPA, was Senior Manager at Kost, Forer, Gabbay and Kasierer - Ernst & Young (Israel) from 2002 to 2007, and at Luboshitz Kasierer from 2001 to 2002. At Kost, Mr. Benita managed the audit process of numerous public and private companies. Mr. Benita has a degree in Business Administration from the Institute for Management and teaches Accounting Standarts (IFRS) to accounting students there.

Mr. Dani Chen has been serving as a President and Chief Executive Officer of the ICL Fertilizers segment since January 2008. Previously, Mr. Chen was Senior Vice President of Marketing of ICL Fertilizers. He has served in a variety of capacities for ICL both in Israel and overseas in the areas of production and marketing. Mr. Chen holds degrees in Electrical Engineering from the Technion and Industrial Management from Ben Gurion University.

Mr. Nissim Adar has been serving as the President and Chief Executive Officer of the ICL Industrial Products segment since January 2008. Mr. Adar was Exe. Vice President of ICL Industrial Products from 2002 to 2007 and has been affiliated with the company for over 28 years. Mr. Adar has a degree in Chemical Engineering and MBA in Industrial Management from Ben Gurion University.

Mr. Charles M. Weidhas has been serving as President and Chief Executive Officer of the ICL Performance Products segment since November 2007. Prior to joining ICL, Mr. Weidhas served in a wide range of senior management positions over a period of 25 years in Monsanto and Solutia, Inc., where he served as General Manager of the Special Products Division. Mr. Weidhas has more than 10 years of experience in the phosphate business. Mr. Weidhas received a B.S. in Chemical Engineering and an M.B.A. from Northeastern University in Boston, Massachusetts.
